4. Client Responsibilities

5. Payment Terms
Payments for Services will be outlined in the contract or proposal provided to you. All fees are due according to the payment schedule specified in the agreement. Late payments may incur interest or penalties as outlined in the contract. Unless otherwise agreed, all fees are non-refundable.
6. Intellectual Property
Client Materials: You retain ownership of all intellectual property rights to the materials you provide to us (e.g., logos, website content, etc.).White Top Marketing LLC Materials: We retain ownership of any proprietary tools, methodologies, or templates we use to provide the Services, unless otherwise agreed in writing.Work Product: Any deliverables created specifically for you (such as marketing plans, reports, etc.) will be transferred to you once payment is made in full.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement, unless required by law. This includes information related to business strategies, financial data, or any other confidential material that is not publicly available.
8. Limitation of Liability
White Top Marketing LLC will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our Services. Our total liability under this Agreement is limited to the amount paid by you for the Services provided in the preceding six months.
9. Termination
Either party may terminate this Agreement with written notice if the other party breaches a material term of the Agreement and fails to remedy the breach within a reasonable period (usually 30 days). Upon termination, you will be responsible for payment for all Services rendered up to the termination date.
10. Indemnification
You agree to indemnify and hold harmless White Top Marketing LLC and its employees, agents, and affiliates from any claims, damages, liabilities, or expenses (including legal fees) arising from:
